("Company", “we”, “us”, or “our”), concerning your access to and use of the https://www.unitsites.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).We reserve the right to update or modify these Terms at any time. When changes are made, users will be notified via email, and such changes will become effective thirty (30) days after notice is provided. Your continued use of the website and services after the effective date constitutes acceptance of the updated Terms.These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles. Any legal action or proceeding shall be brought exclusively in Franklin County, Ohio.The Site provides an online marketplace for the following goods, products, and/or services: Website Templates, custom website design. In order to help make the Site a secure environment for the purchase and sale of Marketplace Offerings, all users are required to accept and comply with these Terms of Use. Any Canva templates or elements provided are licensed for exclusive use within the Unit Sites website only. Users may not extract, reuse, modify, or repurpose Canva templates or elements for any other purpose outside of their Unit Sites website.Any unauthorized use of the Site, Content, Marks, or design elements constitutes a material breach of these Terms and may result in immediate suspension or termination of service without notice.3. All payments for Unit Sites services are processed through Stripe. By purchasing or subscribing to any Services, you authorize Unit Sites to charge your selected payment method, including but not limited to Visa, Mastercard, and Discover, in U.S. dollars.You agree to provide current, complete, and accurate purchase and account information and to promptly update your account details, including email address, billing information, and payment method, as necessary to process transactions and communicate with you.Recurring Billing & Auto-DraftCertain Services are billed on a recurring basis. By enrolling in a subscription or ongoing service, you expressly consent to automatic recurring charges to your payment method without requiring prior approval for each charge, until such time as you properly cancel in accordance with these Terms.Pricing & TaxesPrices for Services are subject to change at any time at our sole discretion. Any applicable sales tax will be added to charges as required by law. We reserve the right to correct pricing errors or inaccuracies, even if payment has already been requested or received.No RefundsAll sales are final. No refunds, exchanges, or credits will be issued for any reason, including but not limited to unused services, early cancellation, or dissatisfaction.Refusal of ServiceWe reserve the right to refuse, suspend, or cancel any order or service at our discretion, including but not limited to situations involving suspected misuse, violations of these Terms, or attempts to circumvent pricing or service limitations.6. CANCELLATION, PAUSE, AND WEBSITE DELETIONCancellationYou may cancel your Unit Sites website subscription at any time by providing thirty (30) days written notice. Cancellation requests must be submitted through the method designated by Unit Sites. Service will continue, and billing will remain active, during the 30-day notice period.Website Deletion Upon CancellationUpon completion of the cancellation period, your website and all associated content will be permanently deleted. Unit Sites is not responsible for retaining, backing up, or restoring website content following cancellation. Please note: Canceling your subscription permanently deletes your website after the notice period.If you wish to regain access to a previously canceled website, the website must be repurchased at full price, and prior content, customizations, and data may not be recoverable.Pause OptionUsers may elect to place their website on pause for an indefinite period for a fee of $13 per month. While a website is paused, it may be inactive or inaccessible; however, content will be retained. Standard subscription billing will be suspended during the pause period.Reactivation of a paused website will resume the then-current subscription pricing and terms.Non-PaymentFailure to maintain current payment information or process required payments may result in suspension, pause, or termination of services. Unit Sites reserves the right to delete inactive or non-paid websites after a reasonable period, without obligation to restore content.7. PROHIBITED ACTIVITIESYou may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.As a user of the Site, you agree not to:
Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
Circumvent, disable, or otherwise interfere with security-related features of the Site, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Site and/or the Content contained therein.
Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site.

Delete the copyright or other proprietary rights notice from any Content.
Attempt to impersonate another user or person or use the username of another user.
Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).
Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site.
Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Marketplace Offerings to you.
Attempt to bypass any measures of the Site designed to prevent or restrict access to the Site, or any portion of the Site.

Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site.
Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.
Use a buying agent or purchasing agent to make purchases on the Site.
Make any unauthorized use of the Marketplace Offerings, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
Use the Marketplace Offerings as part of any effort to compete with us or otherwise use the Site and/or the Content for any revenue-generating endeavor or commercial enterprise.

However, you may provide content to Unit Sites in connection with your website or services, including text, images, branding assets, testimonials, or other materials (“User Content”).You retain ownership of your User Content. By submitting User Content to Unit Sites, you grant us a limited, non-exclusive, royalty-free license to use, display, reproduce, and modify such content solely for the purpose of providing and maintaining your website and related Services.You represent and warrant that:You own or have the necessary rights, licenses, and permissions to submit and use your User ContentYour User Content does not infringe upon the intellectual property, privacy, or other rights of any third partyYour User Content complies with all applicable laws and regulationsUnit Sites is not responsible for reviewing, monitoring, or verifying User Content and assumes no liability for any content submitted by users. If a dispute cannot be resolved within thirty (30) days, either party may pursue available legal remedies in accordance with Section 17.19. MISCELLANEOUSThese Terms constitute the entire agreement between you and Unit Sites regarding use of the Site and Services. If any provision is found unenforceable, the remaining provisions shall remain in full force. We may assign our rights and obligations under these Terms without restriction.

18. DISPUTE RESOLUTION & BINDING ARBITRATION
Informal ResolutionTo promote efficient and cost-effective resolution, the Parties agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services (“Dispute”) through good-faith informal negotiations. Informal negotiations must be initiated by written notice and may continue for thirty (30) days.Binding ArbitrationIf the Dispute is not resolved through informal negotiations, the Dispute (except those expressly excluded below) shall be finally and exclusively resolved by binding arbitration.YOU UNDERSTAND THAT BY AGREEING TO ARBITRATION, YOU ARE WAIVING THE RIGHT TO A JURY TRIAL OR TO BRING A CLAIM IN COURT.Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules or, where applicable, the AAA Consumer Arbitration Rules. Arbitration may be conducted in person, by written submission, by phone, or online, at the arbitrator’s discretion.Unless otherwise required by applicable law, arbitration shall take place in Franklin County, Ohio. Each party shall bear its own legal fees, except as otherwise required by law or determined by the arbitrator. If arbitration costs are found to be excessive, Unit Sites will cover such excess costs as required by the AAA rules.The arbitrator shall issue a written decision. We reserve the right to correct or update such information at any time without prior notice.20. DISCLAIMERTHE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. LIMITATION OF LIABILITYTO THE FULLEST EXTENT PERMITTED BY LAW, UNIT SITES AND BECKY HELLER CO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICES.IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED $1,500 USD, REGARDLESS OF THE FORM OF ACTION.Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.22. All notices, agreements, disclosures, and records provided electronically satisfy legal writing requirements. You consent to the use of electronic signatures and records.25. INDEPENDENT CONTRACTOR & AFFILIATION DISCLOSUREUnit Sites is not affiliated with Mary Kay Inc. Users remain independent contractors and are solely responsible for complying with the terms of any third-party agreements or affiliations.All templates, tools, and suggestions are provided for informational purposes only and are not business, legal, or financial advice.Unit Sites is not affiliated with Voxer or any other third-party platforms referenced within templates. Intellectual property rights remain with their respective owners.26. GOVERNING LAWThese Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles. Any legal action shall be brought exclusively in Franklin County, Ohio.27. MISCELLANEOUSThese Terms constitute the entire agreement between you and Unit Sites. If any provision is found unenforceable, the remaining provisions shall remain in effect. We may assign our rights without restriction.
